    We own the systems and infrastructure that run everything.

    1. Acceptance of Terms

    Parties & Agreement

    These Terms & Conditions ("Agreement") are entered into by and between:

    The Gracepoint Group, LLC, a California limited liability company ("Gracepoint," "we," "us," or "our"), with a principal mailing address at:

    Legal notices may be sent to: support@thegracepointgroup.com

    and

    The individual or entity purchasing or using our services ("Client," "you," or "your").

    If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

    These Terms are effective as of: May 4, 2026

    By using our services, you agree to these Terms & Conditions. If you do not agree, please do not use our services.

    2. Scope of Services

    We provide business growth, marketing, automation, and consulting services, including:

    • AI automation (chat, voice, workflows)
    • Marketing (SEO, AEO, ads, content)
    • Reputation and review systems
    • Lead capture and follow-up systems
    • Consulting, audits, and custom builds

    Services may be delivered individually or as part of a customized plan.

    We may use trusted third-party partners to deliver portions of the service.

    Some services are delivered through Gracepoint-controlled systems, platforms, or infrastructure. These systems are part of the service and are not transferred to you.

    3. No Guarantee of Results

    We aim to deliver meaningful business outcomes, but results are not guaranteed.

    Performance depends on factors outside our control, including:

    • Market conditions
    • Competition
    • Your responsiveness and execution
    • Budget and strategic decisions
    • Third-party platforms (e.g., Google, ad platforms, AI systems)

    We have no control over search engines, answer engines, or their algorithms, past, present, or future.

    We do not guarantee any specific level of:

    • Revenue
    • Lead volume
    • Conversion rate
    • Return on investment

    Any projections or examples are illustrative only.

    4. Fees & Payments

    Fees

    Services may include:

    • One-time fees (setup, builds, audits)
    • Monthly retainers (ongoing work)

    Payments

    Payments are due as agreed. Late or missed payments may result in paused or terminated services.

    No Refunds

    All payments are non-refundable.

    5. Your Responsibilities

    To achieve results, you agree to:

    Provide Access & Information

    • Provide requested materials and account access
    • Ensure information is accurate

    Be Timely

    • "Timely manner" = within 2 business days
    • "Promptly" = within 1 business day

    We are not responsible for reduced performance or missed opportunities resulting from delays, including delays in providing access, approvals, or required information.

    Cooperate

    • Allow us to execute agreed strategies
    • Provide approvals promptly
    • Avoid implementing conflicting strategies without coordination

    Delays or interference will limit performance.

    6. Third-Party Tools & Providers

    We use third-party platforms and tools to deliver services.

    We are not responsible for:

    • Outages
    • Platform changes
    • Performance issues caused by third parties

    We do not guarantee continued availability of any third-party platform or service.

    Your use of those tools may also be subject to their terms.

    7. AI, Automation & Data

    AI Systems

    We use AI and automation tools. These systems:

    • May not always be error-free
    • May behave unpredictably

    Data Use

    We use your data only to:

    • Deliver services
    • Improve system performance

    We do not sell your data.

    8. Communications & Compliance

    We may help you communicate via:

    • Email
    • SMS/text
    • Voice systems (including AI agents)

    You are responsible for:

    • Obtaining proper consent from your contacts
    • Complying with applicable laws (e.g., TCPA, CAN-SPAM)

    9. Ownership

    You Own

    • Your data and contact lists
    • Content created for your business (blogs, posts, emails, etc.)
    • Ad creatives after payment
    • Custom-built systems you purchase

    We Own

    • Our systems, platforms, workflows, and infrastructure
    • The underlying frameworks used to deliver services

    Your ownership does not include the systems used to create or run these outputs.

    Portfolio & Case Study Use

    We may reference non-confidential work, results, or performance data for portfolio, marketing, or case study purposes, unless you request otherwise in writing prior to such use.

    10. Systems, Infrastructure & Hosting

    We may deliver services using:

    • Virtual servers
    • AI environments
    • Isolated or sandboxed systems

    These systems:

    • Are owned and controlled by Gracepoint or its providers
    • Do not transfer to you under any circumstance, whether during or after the term of service

    Access

    Your access is limited, conditional, and revocable.

    Client-Owned Assets

    If we build or manage assets for you (e.g., websites, applications, funnels):

    • You own the asset itself
    • The hosting environment remains under our control

    If Services End

    • Access to our systems is removed
    • Integrations are disconnected
    • Systems do not transfer

    You are responsible for arranging new hosting and completing any migration.

    We will provide reasonable cooperation, but:

    • We do not handle third-party setup
    • We do not guarantee compatibility
    • We are not responsible for migration disruptions

    We have no obligation to maintain or preserve systems after termination.

    If migration is not completed in time, hosted assets may become unavailable.

    11. Termination

    Either party may terminate with 30 days' notice.

    Upon termination:

    • Access to systems ends
    • Environments are shut down
    • Campaigns may be paused

    Any client-owned assets must be migrated prior to termination.

    We are not responsible for downtime, data issues, or loss of functionality resulting from failure to complete migration.

    12. Limitation of Liability

    We are not liable for:

    • Indirect or unexpected damages
    • Lost revenue or business opportunities
    • Issues caused by third-party systems

    Our total liability is limited to the amount paid in the previous 3 months.

    13. Indemnification

    You agree to hold us harmless from claims related to:

    • Your data or materials
    • Your compliance obligations
    • Misuse of systems

    14. Geographic Scope & Governing Law

    We primarily operate in the United States but may serve international clients.

    All services are conducted in English unless otherwise agreed.

    These Terms are governed by U.S. law.

    15. Updates to These Terms

    We may update these Terms from time to time.

    Continued use of our services means you accept those updates.
